Terms & Conditions
Last Updated: [August 29, 2026]
Welcome to Zhongshan Hongkang Electrical Appliance Co., Ltd. (“we”, “us”, “our”). These Terms & Conditions govern your access to and use of WINDOWCLEANROBOT and the business inquiries, product information, quotations, OEM/ODM services, and other services provided through the website.
This website is primarily intended for business customers, including importers, distributors, wholesalers, retailers, brands, manufacturers, and other commercial entities.
By using this website or submitting an inquiry, you acknowledge that you have read and understood these Terms & Conditions.
1. Business-to-Business Website
This website is operated as a B2B product presentation and inquiry platform.
We do not currently provide online checkout or online purchase functionality through this website. Submitting an inquiry, RFQ, contact form, email, or other request through the website does not constitute a purchase order or create a binding sales contract.
Any purchase or supply relationship shall be subject to separately agreed commercial documents, including, where applicable, a quotation, purchase order, proforma invoice, sales contract, OEM/ODM agreement, or other written agreement accepted by both parties.
In the event of any conflict between these Terms & Conditions and a separately executed sales contract, the terms of the sales contract shall prevail with respect to the relevant transaction.
2. Product Information
We make reasonable efforts to ensure that product descriptions, photographs, specifications, dimensions, technical information, features, and other content published on the website are accurate and up to date.
However, website information is provided for general reference only and may be changed without prior notice.
Actual product specifications may vary depending on the model, configuration, customization requirements, production batch, market requirements, and applicable technical standards.
Unless expressly stated otherwise in a written quotation or sales contract, information displayed on the website does not constitute a binding warranty, guarantee, or offer to sell.
3. OEM and ODM Services
We provide OEM, ODM, private-label, customization, and related manufacturing services subject to individual project requirements.
OEM/ODM projects may involve customized product specifications, software or firmware requirements, logos, packaging, colors, accessories, tooling, molds, product documentation, certifications, and other technical or commercial requirements.
The specific scope, specifications, pricing, minimum order quantity, tooling fees, development fees, samples, testing, production schedule, intellectual property arrangements, and other requirements shall be confirmed separately in writing.
Production of customized products may begin only after the relevant specifications, drawings, samples, artwork, packaging designs, or other materials have been approved by the customer, where applicable.
4. Customer Materials and Intellectual Property
If you provide us with trademarks, logos, designs, drawings, software, photographs, specifications, packaging artwork, or other materials (“Customer Materials”), you represent and warrant that you have the necessary rights, licenses, and permissions to use such materials for the relevant OEM/ODM project.
You are responsible for ensuring that Customer Materials do not infringe the intellectual property, privacy, contractual, or other rights of any third party.
We may use Customer Materials solely for purposes related to the agreed OEM/ODM project, unless otherwise agreed in writing.
Ownership and licensing of customized product designs, tooling, molds, software, firmware, technical documents, and other intellectual property shall be determined by the applicable written agreement between the parties.
5. Inquiries and Quotations
You may submit product inquiries, RFQs, customization requests, or other business requests through the website.
We may request additional information before providing a quotation, including target market, estimated order quantity, product specifications, required certifications, packaging requirements, delivery destination, and intended application.
Any quotation may be subject to product availability, MOQ, customization requirements, raw material costs, shipping costs, taxes, duties, exchange rates, payment terms, and other commercial conditions.
Unless otherwise stated in writing, quotations are valid for 30 days from the quotation date.
A quotation does not constitute a binding sales contract unless expressly accepted and confirmed in writing by both parties.
6. Prices and Trade Terms
Prices shall be stated in the applicable quotation or commercial document.
Depending on the transaction, prices may be quoted under EXW, FCA, FOB, CIF, CFR, DAP, DDP, or another agreed Incoterm.
Unless otherwise expressly stated, prices do not include costs that are not allocated to us under the agreed Incoterm.
The applicable Incoterm shall be interpreted in accordance with the agreed version of the ICC Incoterms® rules, unless otherwise specified in writing.
7. Orders and Contract Formation
An order becomes binding only after acceptance and confirmation by us in writing.
The final commercial terms may be established through a purchase order, proforma invoice, sales contract, OEM/ODM agreement, or other written document accepted by both parties.
We reserve the right to decline or modify an inquiry or order where required by product availability, technical feasibility, compliance requirements, credit considerations, export restrictions, sanctions, or other legitimate business reasons.
8. Payment Terms
We may accept payment methods including:
- T/T (Telegraphic Transfer)
- L/C (Letter of Credit)
- D/P (Documents against Payment)
- PayPal
- Western Union
- MoneyGram
The payment method available for a particular transaction shall be confirmed in the applicable quotation, proforma invoice, sales contract, or other written agreement.
Payment terms may vary depending on order value, customer history, product customization, production stage, credit arrangements, and other commercial considerations.
For customized OEM/ODM orders, we may require a deposit or other advance payment before commencing development or production.
We reserve the right to suspend production, withhold shipment, or delay delivery where required payments have not been received in accordance with the agreed payment terms.
Customers are responsible for bank charges, intermediary bank fees, currency conversion charges, taxes, duties, and other costs allocated to the customer under the applicable agreement.
9. Production and Lead Time
Production lead times are estimates unless a specific delivery commitment is expressly stated in a written agreement.
For OEM/ODM orders, the production lead time may begin only after all applicable conditions have been satisfied, including receipt of the agreed deposit, final approval of specifications or samples, confirmation of artwork or packaging, and receipt of other information or materials required for production.
Changes requested by the customer after production has commenced may result in additional costs and delays.
10. Inspection and Quality Claims
Customers may request product inspection or appoint an independent inspection company, subject to prior written agreement regarding the timing, scope, and cost of inspection.
Customers should inspect the products promptly after delivery.
Any claim relating to apparent shortage, visible damage, or apparent non-conformity should be submitted in writing within [7] days after receipt of the goods, together with reasonable supporting evidence.
Claims relating to latent defects shall be handled in accordance with the applicable warranty terms or sales contract.
The remedies available for a confirmed quality issue may include repair, replacement, rework, credit, refund, or another remedy agreed by the parties, taking into account the nature and extent of the issue.
11. Shipping and Delivery
Shipping arrangements, delivery terms, destination, carrier, insurance, customs clearance responsibilities, and allocation of transportation risks shall be determined by the applicable quotation, purchase order, sales contract, or agreed Incoterm.
Estimated shipping and delivery dates are not guaranteed unless expressly agreed in writing.
We are not responsible for delays caused by circumstances beyond our reasonable control, including customs clearance, port congestion, carrier delays, strikes, natural disasters, government restrictions, war, epidemics, transportation disruptions, or other force majeure events.
12. Product Compliance
Customers are responsible for identifying and communicating the regulatory, technical, labeling, certification, language, packaging, and other requirements applicable to the destination market and intended use of the products.
Where specific compliance requirements are agreed in writing, we will cooperate with the customer regarding the applicable documentation, testing, labeling, or conformity assessment to the extent agreed.
Unless expressly agreed in writing, we do not represent that every product, configuration, customization, or version displayed on the website is suitable for every jurisdiction or intended application.
The customer shall not modify, relabel, repackage, integrate, or market products in a manner that would cause the products to become non-compliant with applicable laws or regulations without obtaining appropriate technical and legal advice.
13. Warranty
Any product warranty shall be governed by the applicable written warranty terms, sales contract, or other agreement between the parties.
Unless otherwise agreed in writing, website descriptions, photographs, demonstrations, marketing statements, or general product information do not create a separate product warranty.
Warranty coverage may exclude damage caused by misuse, unauthorized modification, improper installation, abnormal operating conditions, accidents, improper storage, unauthorized repair, or failure to follow applicable instructions.
14. Returns and Refunds
Because our business is primarily B2B and many products may be customized under OEM/ODM arrangements, returns and refunds are not automatically available merely because a customer changes its mind or no longer requires the products.
Any return, replacement, credit, repair, or refund shall be subject to the applicable sales contract, warranty terms, and written agreement between the parties.
Customized, private-label, or specially manufactured products generally cannot be returned solely due to a change of customer preference after production has commenced, unless otherwise agreed in writing or required by applicable law.
15. Website Content and Intellectual Property
All website content, including text, product photographs, graphics, videos, logos, trademarks, designs, layouts, software, and other materials, is owned by or licensed to Zhongshan Hongkang Electrical Appliance Co., Ltd., unless otherwise stated.
You may not reproduce, copy, distribute, modify, publish, commercially exploit, or create derivative works from our website content without our prior written permission.
16. Confidentiality
Confidential information exchanged during an inquiry or business relationship, including pricing, product specifications, drawings, technical information, business plans, customer information, and other non-public information, shall be treated as confidential where its nature reasonably indicates confidentiality or where the parties have entered into a separate confidentiality agreement.
For OEM/ODM projects, the parties may enter into a separate Non-Disclosure Agreement (“NDA”) before exchanging confidential technical or commercial information.
17. Third-Party Links and Services
Our website may contain links to third-party websites or services.
We do not control and are not responsible for the availability, accuracy, security, content, or practices of third-party websites or services.
18. Website Availability
We do not guarantee that the website will always be available, uninterrupted, secure, or error-free.
We may modify, suspend, or discontinue any part of the website, product information, or services at any time.
19. Limitation of Liability
To the maximum extent permitted by applicable law, we shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business opportunities, loss of goodwill, or loss of anticipated savings arising from the use of the website or services.
Any liability arising from the sale or supply of products shall be governed primarily by the applicable sales contract and mandatory provisions of applicable law.
Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited under applicable law.
20. Force Majeure
We shall not be liable for failure or delay in performing our obligations to the extent caused by events beyond our reasonable control, including natural disasters, fire, flood, war, terrorism, civil unrest, epidemics, strikes, labor disputes, government actions, sanctions, export restrictions, transportation disruptions, shortages of raw materials, energy shortages, or other force majeure events.
21. Export Controls and Sanctions
We reserve the right to refuse or suspend transactions where required by applicable export control laws, sanctions, trade restrictions, or other applicable legal requirements.
Customers shall provide accurate information regarding the end user, destination, intended use, and other information reasonably required for compliance purposes.
22. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of Guangdong jurisdiction, excluding its conflict-of-law rules.
Any dispute arising out of or relating to these Terms shall first be resolved through good-faith negotiations.
If the dispute cannot be resolved through negotiation, it shall be submitted to Zhongshan People’s Court in Zhongshan Guangdong in accordance with its applicable rules.
The language of the proceedings shall be English
The applicable dispute resolution provisions contained in a separately executed sales contract shall prevail over this section for the relevant transaction.

Your continued use of the website after the updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
